YayNDATM
Our Story

Built by a lawyer who got tired of watching people sign bad NDAs.

YayNDA turns twenty years of negotiating NDAs, in courtrooms and in the General Counsel's chair, into a $19.99 review anyone can use before they sign. This is the story, and these are the people, behind it.

Most NDA damage is done at signing.

Marco Anzalone spent years as a commercial litigator trying trade secret, IP, and contract disputes. The cases had a pattern: by the time a confidentiality fight reached a courtroom, the losing argument had usually been signed years earlier, in a document nobody read closely because the deal was exciting and the NDA seemed like a formality.

Then he switched seats. As a General Counsel, he became the person every NDA landed on, the one who knew which terms were standard, which were traps, and which language would actually survive a dispute, because he had spent a decade litigating exactly those fights.

Most people signing NDAs don't have that person. YayNDA exists so they do.

A chatbot can read an NDA. That is not the same as reviewing one.

Paste an NDA into a generic AI and you get a paragraph of observations. What you don't get is a playbook: which terms are standard, which would never survive a real negotiation, what to ask for instead, and a redline you can actually send back. The gap isn't intelligence. It's judgment, and judgment comes from having negotiated these documents for twenty years.

YayNDA splits the work the way a good legal team does. The AI handles what machines do well: matching clauses by legal function across documents that number and phrase things differently, flagging conflicts and gaps, missing nothing. The recommendations reflect how an experienced attorney actually resolves each one. And every decision stays yours: accept, reject, or rewrite, then export a clean Word redline with every change tracked and attributed.

AI recommends.You decide.

Why it costs $19.99 and not $400

A lawyer charges about $370 to review a single NDA, and for a bet-the-company agreement, that is money well spent. But most NDAs never get that treatment. They get signed unread, because $370 and a three-day wait don't fit a Tuesday afternoon deal. We priced YayNDA so the review actually happens: $19.99 per review, the first one free, no subscription. And if an NDA turns out to be high-stakes, the review tells you that too, and that is exactly when you should spend the $370.

The next NDA doesn't have to be a guess.
